Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization (such as an AAU basketball program), you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" will refer to that organization.

You must be at least 18 years of age to create an account and use the Service. The Service may be used by minors (players aged 7-18) only under the supervision and with the consent of a parent, legal guardian, or authorized coach.

2. Description of Service

GameSpeed AI is a web-based software-as-a-service (SaaS) platform designed for AAU basketball programs. The Service provides tools for team management, player roster management, event scheduling, stat tracking, AI-powered analytics, parent communication, public team websites, and merchandise fulfillment.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

3. User Accounts & Registration

To access certain features of the Service, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete, or if you violate any provision of these Terms.

4. User Roles

The Service supports the following user roles, each with specific permissions and responsibilities:

4.1 Organization Owner

Organization Owners are responsible for setting up and managing the overall AAU program within the platform. They have full administrative access, including billing management, team creation, coach assignments, and organization settings.

4.2 Coach

Coaches are assigned to specific teams within an organization. They can manage rosters, schedule events, record stats, communicate with parents, and access AI-powered analytics for their assigned teams.

4.3 Parent

Parents have access to their child's team information, schedules, stats, and communication features. Parents are responsible for providing consent for their minor child's participation and data collection on the platform.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or distribute any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service for any commercial purpose other than managing your AAU basketball program as intended.
• Scrape, crawl, or use automated means to access the Service without our prior written consent.
• Upload or share content involving the exploitation or abuse of minors.
• Use player data for recruiting or solicitation purposes outside the scope of the platform's intended use.

6. Content & Data Ownership

6.1 Your Content

You retain all rights to the content and data you submit, post, or display through the Service ("User Content"), including player information, stats, photos, and team data. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service.

6.2 Public Team Websites

If you enable a public team website, certain player and team information will be displayed publicly as configured by the Organization Owner or Coach. You acknowledge and consent to this public display of selected data.

6.3 Data Portability

You may request an export of your data at any time. Upon termination of your account, you may request a copy of your data within 30 days before it is permanently deleted.

7. Payment Terms

7.1 Subscription Plans

The Service offers various subscription plans. Details of pricing, features, and billing cycles are available on our pricing page. We reserve the right to change pricing at any time with 30 days' prior notice to active subscribers.

7.2 Billing

All payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your selected payment method for the applicable subscription fees. Subscriptions automatically renew unless cancelled before the end of the current billing period.

7.3 Refunds

Subscription fees are generally non-refundable. However, if you cancel within the first 14 days of your initial subscription, you may request a full refund. Refund requests after this period will be evaluated on a case-by-case basis at our discretion.

7.4 Taxes

You are responsible for all applicable taxes associated with your use of the Service. Subscription fees are exclusive of taxes unless otherwise stated.

8. Merch Store Terms

8.1 Orders & Fulfillment

The Service may include a merchandise store for team-branded apparel and goods. Orders placed through the merch store are subject to availability. We will make reasonable efforts to fulfill orders in a timely manner, but delivery times may vary.

8.2 Shipping

Shipping costs and estimated delivery times will be displayed at checkout. We are not responsible for delays caused by shipping carriers or customs processing.

8.3 Returns & Exchanges

Due to the customized nature of team merchandise, all sales are final unless the item is defective or incorrect. Defective or incorrect items must be reported within 14 days of receipt for a replacement or refund.

9. SMS Communication Consent

By providing your phone number and opting in to SMS communications, you consent to receive text messages from GameSpeed AI related to the Service, including but not limited to: event reminders, schedule updates, team announcements, and account notifications.

• SMS messages are sent via Twilio, our third-party messaging provider.
• Message frequency varies based on team activity and your notification preferences.
• Message and data rates may apply depending on your mobile carrier.
• You may opt out of SMS communications at any time by replying STOP to any message.
• For assistance, reply HELP to any message or contact us at info@gamespeedai.com.
• Opting out of SMS will not affect your ability to use the Service, but you may miss time-sensitive notifications.

10. AI Features Disclaimer

The Service includes AI-powered features that provide analytics, insights, recommendations, and other outputs generated by third-party artificial intelligence models ("AI Features").

• AI Features are provided for informational and supplemental purposes only.
• AI-generated content may contain errors, inaccuracies, or biases. You should independently verify any AI-generated insights before relying on them.
• AI Features are not a substitute for professional coaching judgment, medical advice, or any other professional guidance.
• We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.
• We are not liable for any decisions made or actions taken based on AI-generated content.
• AI models may be updated or changed from time to time, which may affect the nature or quality of AI-generated outputs.

11. Intellectual Property

The Service, including its original content, features, functionality, design, code, and branding (excluding User Content), is and will remain the exclusive property of GameSpeed AI LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

The GameSpeed AI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of GameSpeed AI LLC. You may not use these marks without our prior written permission.

12. Third-Party Services

The Service integrates with and relies on third-party services to provide its functionality. These third-party services include, but are not limited to:

• Stripe for payment processing
• Twilio for SMS messaging
• Supabase for database hosting and authentication
• Third-party AI providers for AI-powered analytics and features

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of any third-party services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GAMESPEED AI LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Indemnification

You agree to indemnify, defend, and hold harmless GameSpeed AI LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including privacy rights.
• Any User Content you submit, post, or transmit through the Service.
• Your negligence or willful misconduct.

15. Termination

15.1 Termination by You

You may terminate your account at any time through the account settings or by contacting us at info@gamespeedai.com. Upon termination, your right to use the Service will immediately cease.

15.2 Termination by Us

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we determine violates these Terms, is harmful to other users or third parties, or is otherwise objectionable.

15.3 Effect of Termination

Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of New Jersey for the resolution of any disputes arising out of or related to these Terms or the Service.

17. Dispute Resolution

17.1 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at info@gamespeedai.com to attempt to resolve any dispute informally. We will endeavor to resolve disputes within 30 days of receiving notice.

17.2 Binding Arbitration

If a dispute cannot be resolved informally, you and GameSpeed AI LLC agree to resolve the dispute through binding arbitration administered in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the State of New Jersey. The arbitrator's decision shall be final and binding.

17.3 Class Action Waiver

You agree that any disputes shall be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding. You waive the right to participate in any class action lawsuit or class arbitration against GameSpeed AI LLC.

18. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically for any updates. The "Last Updated" date at the top of this page indicates when these Terms were last revised.
